Why does a non-profit like Ecoembes have shareholders?
Because Law 11/97 on packaging and packaging waste currently in force urges packaging agents to create an organisation with legal personality that, under the essential premise of being a non-profit organisation, can establish a limited company (sociedad anónima) for the purposes of not only making its performance quicker and more efficient but also, above all, for transparency. Under this legal entity, all members have criminal liability in the compliance with companies rules.
Moreover, this legal personality implies there are shareholders representing the main stakeholders, both large companies and industry associations, such as packaging, distribution and packaging materials agents. However, in turn, since it is a non-profit, dividends or profit cannot be distributed, unlike a private company, because Ecoembes has no profit.
